THE THIRTY-FIFTH ANNUAL GENERAL MEETING of the STANDARD LIFE ASSURANCE COMPANY was held at Edinburgh, on Monday, the 25th of February,— GEORGE PATTON, ESQ., Advocate, in the Chair. THE MnAGEB of the COMPANY submitted to the Meeting a REPORT by the DIRECTORS as to the PROGRESS of the BUSINESS during the Year ending 15th November, 1860. He also submitted the following STATEMENTS Report on the Books and Accounts by the Auditor of the Company. A larger amount of New Business has been transacted than in any previous year since the Company was established. Excellent iavestments have been secured for the Company's Surplus Funds, and the Claims by Death have been considerably within the calculation. The large increase of New Business, however, is the leading feature in these results, the amount transacted having never previously been reached by any Scotch Office-while the gratifying fact presents itself that he average of each Policy has not been far in excess of JE500 on each Life. But it is not to such a rapid stride as that attained in 1860 that the Directors point with most satisfaction. They have much more pleasure in calling your attention to the steady results from year to year; and in recording the fact that no Office in ex- istenae, except the STANDARD, can show an average New Business of HALF A MILLION sterling annually during the last fourteen years. The Directors continue to exercise the greatest caution and to use the utmost circumspection in the mmagament of the .Company's affairs. The investment of the funds engagei at all times their special attention, and, they are happy to state that the large sums intrusted to their charge have been placed on secuiities of the most satisfactory cliaiacter. No persona) toans are entertained, and the Directors, after mature consideration, have deemed it their wisest course to avoid all securities of a temporary character, and to invest almost entirely on the security of land and in Government securities. A Committee of Directors is about to report on these securities preparatory to the division of profits, and the Directors feel confident that that department of their management will receive the entire approval of the investigators. The question of AUDIT" is at all times an important one, and has of late attracted much public attention, in consequence of the frauds which have unfortunately occurred, more especially in England, in connection with public companies; and it might be well if the practice of emplo)ing professional accountants to conduct such audits obtained L. This Company have always considered the office of Auditor of great importance, and it has bfnthe practice of the Directors, for many years, to submit his Report, as has been done to-day, to the Annuil General Meeting. The Manag. r has instituted various modes of checking the accounts, and the Auditor is most particular in his examination of all details, so that the pro- prietors may repose every comfidence in the attention paid by the Directors to that part of their duty; and they think it not out of place, while making so satisfactory a report as to the state of the Company's affairs, to show that in times so prosperous, as at all times, they are not negligent of those checks necessary in all well-man\gel public institutio is. The proprietors are aware that the Sixth Investigation of tho Company's affairs, with reference to a further Division of Profits, was appointed to be made as at 15th November, 1860. The books h (ve been balancel as at that date, and the Balance- Sheet, certified as usual by three Directors and the Auditor, is n )w on the table, but it will require a few weeks more to finish the laborious calculations necessary to ascertain the exact amount of the surplus fund. The meeting now addressed will there- fore adjourn till the end of April or beginning of May, when a tull statement and valuation will be submitted. THE CHAIRMAN then addressed the Meeting in the following terms:- I have now to propose that the Report and statements be approved of, ani 1 make this tmtiot with verygreitpieasure, as these Reports and statements contain so much that is gratirying I am certain it is iir.pa^sible for you to have heard the statements contained in that Report without being satisfied as to the progress which this Co npiny is making, and as to the suc- cess that has attended it. The year which has just come to a close is the last of the quinquennial period which, according to our constitution,precedes a general investigation of the Company's affairs and division of Prutits. That investigation is now being actively proceeded with; but, from the vast extent of the transactions investigated, and the strict scrutiny employed, the Report will ne* be ready for some weeks You shall be called together to consider that report when made; and it will be the duty of the Chairman at that Meeting, more than it is mine at present, to enter upon details with reference to the state of the business. At the same time, I may observe that during this last year we have,aecomplished the result of having transacte d a greater amount of assurance business than has been effected by any o.her office, whether in E:i £ l.ind or Scotland, in the sa ne period of time. Further, I can confidently affirm that we have effected thisamoiat of assurance with,)ut haviag 19 the slightest degree relaxed that caution which the Directors of tliis Company have always manifested ia the selecjtiju of assured lives and I think the tah!e which has been broaght before you, contrasting the a uount assured with tile a nsant propasaJ for assurance, will have satisfied you that I am coirect in tint stuement. I may also mention, th .t we ourse'vss have, in no previous year, effected an amount of assurance at all equal to that which we have transacted duri.tg this last year, and when contrasted with the last bonus year (1855), we are very largely in excess of the amount which we were then able to assure. While we have accomplished this fatisfaclory result without in any degree relaxing tie strictness with which we investigate proposals of assurance, we have done so also without stimulating assurance, as is done in many cases, by holding out the prospect of personal loans in connection with assurances, without asceptinj any but first-elass lires, and without having any agencies beyond England, Scotland, and Ireland. We have not, therefore, achieved this result, otherwise thin according to a sound and proper mode of conducting bu iness; and I think it right that yo i sh >uld all be aware that tint is so. Gentlemen, the re ults which have been stated, I think, sufficiently establish that the reputation anl charicter of the Standard is not diminished, and that we still maintain-and 1 trust shall long continue to ulaintaln-the very high position which we have fortunately attained to. The extent of the increase of the revenue during the past year his been already stated to you also the extent of the assurances effected, and of the Invested Cdpital-the Revenue exceeding je)M,T)0, and the Realized Capital amounting to £ 1,850,000 and all in a state of active progress. The amount of loss also in the year, as you will perceive, is much within the calculations. I think there is ample ground for congratulating all who are interested in the Company on its continued success, while. we have the best ground for expecting that the result of the investigation will be ex- ceedingly beneficial to all parties. I may mention further, gentlemen, that while our business itl Scotland and Ireland has been fully maintained, a marked increase has arisen in our English busin-ass, for which we are much indebted to the successful exertions of your Directors in Lo idon. The Co;npany have during the last year sustained a loss by the decease Of the Earl of Aberdeen—a nobleinan who held the office of Chairman of the London Board, and to the influence of whose respected name the Company have been much indebted and I am sure we all desire to express our regret and sympathy his the f*mily. I have now only to move thbt the Report be approved of. The motion was agreed to. In accordance with the Acts of Parliament under which the Company is c instituted Three Directors retire by rotation :-H.
