The Debentures will be registered and will be redeemed on or before 1st January. 1910, by annual or other drawings, at the price of S105 for each £100 Bond. Interest will be paid half-yearly, on 1st January and 1st July, at the Company's Bankers. Interest will accrue from the respective dates of payment of the instalments. The Articles of Association provide that until all the Debenture Bonds are redeemed, all surplus profits beyond 10 per cent.. upon the Ordinary Share Capital must be applied in the redemption of the Debenture Bonds. This Company is formed for the purpose of purchasing from the present owners—some of whom will retain a large interest in the Company- the Albion Colliery, winch is situate in the Taft Valley, two miles north of Pontypri' dd 15 miles from the Ports of Cardiff and Penarth, and 13% miles from Barry and Newport The colliery comprises seven leasehold properties, covering a total mineral area. of 1,153 acres of the lower or steam coal measures. The leases have unex- pired terms of 53 years. The seams of coal contained in the properties are all well-known steam coal veins of the Rliouida and Aberdare Valleys. The coal is one of the best steam coals raised in South Wales, and com- mands the highest market, price. Among the principal consumers of the Company's coa! are the following Tht Admiralty, the P. and O. Steam Navigation Company, Compagnie Generate lYans-Atlantique, Messageries Maritimes de France, Indian Railways, Messrs John Pirie and Company, Messrs Worms, Josse, and Company, and Messrs Blandv Bros. The colliery, which was opened' in 1887, is in perfect working order, and provided with all necessary ma- chinery of the most modern type. The output of large and small coal raised and sold for tho year 1830 wa? ?3.025 tons. The output for the year 18bi is expected to be considerably in exuss of that of 1S80.. I Mr T. Forster Brown values the colliery and plant at' £ 307,460. A detailed report and valuation of the colliery has been prepared by Mr Forster Brown, and such report can be inspected at the oflkes of the Com pany, but a summary of that report, also prepared by Mr Forster Brown, is annexed. The profits for the nine months, viz., from 31st March, when the Company will become entitled to profits, to the 31st December, 1891, having regard to contracts already entered into, are estimated by the vendors to exceed £ 40,000. Assuming the future average annual profits, as esti- mated by Mr Forster Brown in his report, to be a sum of not less than :S<M,OCC per annum upon an annual output of 360,000 tons largo Coal, the Company would be in a position to pav an average annual Dividend at the rate of 16 per cent. upon the Ordinary Share Capital now offered for subscription, after providing for payment of interest upon the Debenture Bonds. A provision has. however, been inserted in the Articles of Association, which requires the Company to devote all profits, after payment of a Dividend at the rate of 10 per cent, per annum upon the Ordinary Shares, to the redemption of the Debentures. It is estimated by the Vendors that there will be, as the result of nine months' workings, a sum of about £ 20,000 available in January, 1892, for th» redemption of Debentures, at R105 for each £ 100 Bond. 1 The Company will enter into possession and take over the management ot the colliery on the 1st May, ¡ mid the purCllasa will be completed on th July. The Company will be entitled to the profits of the coilier) from the olsfc March, and from that date the vendors will receive interest on the purchase money at the rate of five per cent. per annum. Mr Matthew Cope, who has consented to act as clJ:1irnl3.n and managing director of the Company for a period of five vetrs, and Mr P. A. Vyvyan-Robinson, who will be a director, both of whom are also vendors, have been associated with the colliery from its commec'cement. The Company will retain tft.) whole of the staff associated with the colliery, which will be transferred as a going concern to the new Company, who will have the benefit of all existing trade contracts. No contracts or arrange- ments have been entered into which restrict, the Com- pany in any way in the employment of agents for the sale of their Coal. The Directors proposo to retain the services oflolessr.4 Alfred Cheney and Eggar, who have acted as thi London Agents for the Albion Colliery' from its commencement. The Vendors, who are the promoters of the Company, ■have fixed the price of the Colliery and Works at. £ 310,000. The Vendors will defray all the expenses of registering, advertising, and forming the Company, in- cluding brokerage, commission, and the legal charges and expenses for vesting the property in the Company. The Vendors and the Directors subscribe a large portion of the Debenture Bonds and Ordinary Slmre Capital. Subscribers to the Debenture Bonds who have their bonds drawn for payment in January, 1832, will not merely have had a. secure 5 per cent. investment, but as they will then receive 1L premium of £5 per bond, the investment of bondholders whose bonds are then drawn for payment will show them a return exceeding 10 per cent. peraniiiun. Subscribers whose bondi are drawn for payment, at the end of the second year, iit January, 1893, will, in the same way, get a return exceeding 7% per cent, per annum. A Contract has been entered into, dated the 24tli March, 1881, between Ebenezer Lewis, Matthew Cope, llenrv Lewis and Philip Augustus Vyvyan-Robinson of the one part, and Millnel John Eggar of the other part, as agent for and on behalf of the Albion Steaiu Coal Company, Limited, providing for the sale of the Albion Colliery. Numerous trade and other Contracts have been made. Applicants for Debenture:; and Shares will be deemed to have had notice of all such Contracts, and to waive tho insertion in this Prospectus of the dates and names of the parties thereto, and to accept the above statement as sufficient compliance with Section 53 of "The Companies Act, 1867." Applications in the form accompanying the Pros- pectus, together with a deposit of 10 per cent. in the case of Debentures, and £1 per Share in the case of Ordinary Shares, must be forwarded to the Company's linkers. Should a less amount of Debentures or Ordinary Shares he allotted than is applied for, the surplus paid on application will be appropriated towards the amount due on allotment. I have inspected the Albion Steam Coal Collier.* Undertaking, situate between Navigation and Ponty- pridd, in the Taff Valley. The prooerty is leasehold, and comprises about, 1,155 acres of minerals, held for terms averaging 60 years from 1884, upon usual conditions. The minerals comprise the Aoeraare Four Feet Seam, six feet ix iuchm: in thickness the Six Feet. Nine Feet, Five Feet, iind all the other Steam Coal Measures of tliedistriet. I I estimate the workable coal resources in the Four Feet and most cheaply worked seams alonq at Sixteen Million tons. This will admit of an output from the best stearlÍ coal seams of 360,000 tons of Large Coal per annum for 35 years. The quality of the coal is of the best description for steam navigation. The colliery is quite new, the working of coal having commenced in the year 1887. b The works comprise two walled shafts 19 feet in diameter, The depth to the lour Feet seam is 546 (lin,iiiet-er, The cllly is 1,tted with winding plant, ?-ards. stacks, screens, workshops, storehouses, venti- Jatin machmery, and railway snnngs. The output of 1890 was, of largo coal, 296,617 tons and of small coal, 71,408 tons. The roof of the Four Feet Seam is a very good one and this seam otherwise exists under exceptionally favourable conditions, both as to thickness and quality and the coal-field generally is very free from disturb- auces.
