It need hardly be observed that the goodwill of a busi- ness of such high reputation and standing, established for so long a period as nearly three-quarters of a century, and whose brand is Po well known throughout the world, must of itself be of great value; but owing to the circum- stances before referred to of the death of the late Proprie- tor, the Company now established will enter upon the business without making any payment whatever to the executors on this account. The Company acquires the whole of the properties and stocks (together with the brand, trading name, and goodwill) and takes over the business as a going concern, as from the 31st December last, at the price of 2290,370. Of this sum the Executors are willing that 2140,000 should be. a deferred payment for five years, bearing in- terest at the rate of 5 per cent per annum-the balance, payable in casb. This favourable arrangement will enable the Company to distribute the whole of the net income of the works, less the Debenture Interest, over the Share Capital now for subscription. The valuable Contracts entered into by the firm of Messrs. John Ball and Sons are handed over to the Company without charge. They are at very favourable prices, a*d, having been recently made, are nearly all at the high rates now current in the market. The additional advantage is afforded to the Company by Mr. Bagnall's executors of receiving all the profits from 1st January last, from which date the earnings of the business will accrue to the Company. It may be reasonably calculated that the profits will be considerably1 in excess even of those realised by the late proprietor, inasmuch as the position of the Iron and Coal Trades throughout th«i,country is well known to be such as not only to ensure a continuance of the large profits which are now being earned, but also to point to a considerable increase. The Directers limit themselves to the above state- inent of facts, which, in their opinion, require no ampli- fication. A copy of the agreement for purchase of the Property, Works, and Collieries, and the Memorandum and Articles of Association, together with a copy of Messrs. William Bird & Co. 's report, may be inspected at the offices of the Company's Solicitors. If no allotment be made, the application money will be returned without deduction and should a smaller num- ber of shares be allotted than those applied for, the balance of the sum deposited will be appropriated- tewards the sum payable on allotment.
