STEPHEN'I.ClJA:\I BEH. Telegraph-street, Moorgate-street, E.C. PROS PECTUS. This company has been established to acquire all the patents and processes now owned by the Sockste La roiceet La Lumiere,' fortpe United Kingdom of Great Brit, tin and Ireland, the Channel Islands, and the Isle of Man, under a contract Itited the 29th day of March, 1881, and made between Camilie Alphonse' Faure and the SocWte Anoyme La Force et La Lumiere," or winch may hereafter be obtained by that society. The chief of these patents is Faure's Accumulator, or Seconuary Battery, and the nature of the business wincti the company proposes to carry on is fully in- aicated by the memorandum of association, a copy of Yhich is published in a fold of the prospectus. By means of Fame's Accumulators electric energy can be stored and retained, to be re-distributed as required for the production of light and motive power. J ae Accumulator, indeed, bears the same relation to eicctric energy as the cistern to water, and the gaso- meter to gas. The light thus obtained is perfectly steady, and without glare, and its capability of sub- division and storage has now been fiillv established. For successful and economical application to the light- ing of mines, houses, and railway trains, Faure's Accumulator ofters tl>e exceptional advantage, that, in the event of temporary accident to or stoppage of the electric motors, there is no cialigel. Of any extinction of the light. j One of the sources from which it is confidently antici- pated that this Company will derive a considerable revenue is the lighting of railway carriages to light them economically as well as effectually by electricity accumulators are absolutely necessary as without accumulators the light would varv in intensity in pro- portion to the speed, and would be extinguished on the stoppage of the tr. in. A brighter light, can be obtained by means of Faure's Accumulators than that at present found in railway carriages, and at a cost, including wear ami tear and renewals of incandescent lamps, Ac., con- j siderablj less. The lipht thus obtained is indeed vastly supeiior, as ilia N, be by an inspection of the Pull- man Car I ram, which has been runniji^ on tlie Brighton Line during tlie last throe months, lighted by electricity supplied by Faure's Accumulators. It is difficult to enumerate in a prospectus the ends to vhich faure s ACcliHlIùator mav eventually be applied, or to fix limits to its usefulness, but one of the must 'liiportaut purposes to which it mav be iinuiedi- ately aud advantageously applied, is as a motive power for tramcars. According to the published accounts of the tramway companies, it may be deduced that the cost of working tramcars by electricity, in conjunction with l-aure s Accumulators, would show a large margin of saving over the present .system pfter making duo allowance for all outgoings. It is anticipated that the profits from this source alone will be considerable. The motive power may further be at Ollce equally advantageously employed in the working of fire engines, hoists, cranes, sewing machines, lathes, Ac. In tae opinion of men of science, Faure's invention mars a new departure in the practical Mid economic application of electricity to industrial aud domestic purposes, aud will necessarily ^nnrnl adop- tion. 'uq,W' ° Sir William Thomson thus expressed himself about it in a letter to the Times" The subject is one in which I feel intensely inter- ested, seeing in it a realisation of the most ardently and unceasingly felt scientific aspiration of my life." To an inquiry addressed to him subsequent to the opening of the Paris Electrical Exhibition in the fol- lowing terms: Since the Faure Battery has been known and des- cribed, has there, to your knowledge, been any other battery discovered which in any way approaches, or can be" held to be able to oompëlv with it," SIR William Thompson replied :— "No. I have heard of several other secondary bat- teries, but none of which approaches to the practical value of Faure's." It is needless to say that the commercial field for an invention of such value is a wide one so convinced indeed are the vendors that the shares of this Company will pay dividends at a high rate that they have agreed to take four-fifths of their nominal purchase money in Deferred Shares. The price to be paid by this Company for the pur- chase of Mr Faure's and all other patents and processes now owned, or which may be obtained by the "Société La Force et La Lumiere"" for the United Kingdom of Great Britain and Ireland, the Channel Islands, and the Isle of Man, is the sum of £ 25,000 it' cash, and 100,000 Deferred Shares of El each fully paid, and a I ike proportion of Deferred Shares in any further issue of capital which may be made by this Company. The net prutits in each year (subject to the provisions of the Articles of Association for the establishment of a reserve fund and f. >r the remuneration of the directors) are to be appropriat d in the following order First.—To a cumulative preferential tlividWnl of 10 per cent on amounts paid up oil Ordinary Shares. Secondly.—To a cumulative dividend of 10 per cent on like proportions of Deferred Shares (such shares for purposes of dividends only, being treated as having the same proportion paid up thereon as the Ordinary Shares). And Thirdly—One-half of surplus profits to dividends on Ordinnrv 'and Deferred Shares, according to the amounts paid up or treated as paid up as above, and the other half to dividend oil Deferred Shares only. The vendors undertake to pay all the preliminary and other expenses of the Company, including adver- tising, printing, and legal charges, up to and including the allotment of shares. AU agreement has been entered into, dated the 15th dav of February, 1882, between John Henry Johnson, of No. 47, Lincoln's-inn-fields, in the county of Middlesex, gentleman, of the first part, Camilie Alphonse Faure, of No. 103, Boulevard Rochechouart.in the City of Paris, of the second part, La Force et la Lumiere a Soeiété Aaonyme, formed according to the law of Belgium, of the third part, and John Wiseman, of No. 12, Tresillian-road, New Cross, in the county of Kent, gentleman, of the fourth part. The above agreement, together with the memoran- dum aud articles of association of the Company, can be inspected at the offices of the Solicitors of the Com- pany. If no allotment be made the deposit will be returned forthwith without deduction. Should the shares allotted to any applicant be less than the number ap- plied f or, the "surplus paid on application will be cre- dited in reduction of the amount payable on allotment Prospectuses and forms of application for shares can be obtained at the offices of the Company, and from the Bankers and Brokers.
