The object of this Trust is to acquire the Royalties payable in respect of the manufacture and sale of the Moldacot Pocket Lock-stitch Sewing Machine in the ■ United Kingdom of Great Britain and Ireland, the British Colonies, Germany, France, and Belgium. The following undertakings have been recently established for acquiring the patent rights for this re- markable invention in the countries named, subject to the payment of a Royalty of sixpence per machine upon every machine manufactured and sold by each Company ;— 1st. The Moldaoot Pocket Sewing Machine Com- Sany (Limited), which has acquired the Patent lights for the United Kingdom (subject to tha aforesaid Royalty) for tha sum of £ 3o,000 in cash and shares, and in addition possesses a subscribed working capital of 2nd. The Moldacot (Colonial and Foreign) Pocket Sewing Machine Company (Limited), which has put- chased the Patent Rights for the British Colonies, Germany, France, and Belgium (subject to a similar Royalty), for the sum of £65.000 in Cash and Shares. It will be seen that the total working capital of these undertakings is more sufficient to adequately introduce and work the invention in the different coun- tries for which these Companies have respectively acquired the Patent Rights. The Royalties payable by the above-named Compan- ies (with the exception of tho-e relating to France and Belgium, the property of the Vendors to the Trust) were recently purchased on tiehalf of themselves and others by Messrs Alb-rt Douglas Moll and John Charles Cottam (the aforesaid Vendors) upon the terms of paying for the same partly in cash "lnd partly in shares. In order to facilitate the carrying out of this arrangement, and to consolidate under one manage- ment the whole of the interBSts of the owners of such Royalties (including those payable in respect of France and Belgium), the establishment f this Trust has been rendered necessary, the Vendors stipulating that they shall receive in shares, on account of their purchase money, the largest amount permissible by the rules of the Stock Exchange. The Vendors are the promoters of the Trust, and have fixed the price for the Royalties payable in reo spect of the sale of the Moldacot Machines in the whole of the Countries an.1 Colonies enumerated in this prospectus at the sum of £ 55,000, whereof, as previously stated, they have stipulated to receive in fully paid Shares the largest amount allowed by the rules oi the Stock Exchange.
