TEMPORARY OFFICES.—144, LEADENHALL- TREET, E.C, This Company is formed to acquire and develop an important Freehold Estate in Eastern Kentucky, bordering on West Virginia; one block of about 300,000 acres, described as lyin between thø Levisa Fork of Big Sandy River and the Tug River the other blocks of together about 68.(OU acres, as on the left of the Levisa Fork, with the Elkhorn Valley lying to the South, and along its boundary near to the well. known break in the Pine Mountain Range, Pound Gap. The accompanying map shows approximately the position of the property, within the well-known Great Appalachian Coal Field, with railways repre- sented as built and projected. The price at which the property is acquired is ex- ceptionally low, the amount, after paying all pre- liminary expenses and providing working capital, representing about$2i per acre. The purchase of this immense tract of land at almost prairie yalue presents an opportunity of taking a share in a property likely to return good dividends at, it is hoped, no distant date, and holding out a prospect of a further rise in vaiue commensurate with the de. velopment of the immense nalural resources of the Southern States, and (especially of this part of the country, to which Northern and English capital is now being attracted. The commercial and financial press of America is now constantly calling attention to the enormous strides being made in the South, to which the wave of prosperity from North and West seems to have set: two recent numbers of the Manufacturers' Record of Baltimore, among others, contain sucl1 interesting notes on this district that extracts are appended to tl1is prospectus. Dividends may be looked for by sale on the spot of some of the timber, as it stands, and the profit on sales ot portions of the estate, as opened out by the railroads. It has, of course, not been possible to obtain a survey of this large track of land which the company is, in fac, formed to explore, but the directors b;¡,YC had before Utem reports (including a report by !vir John R. Proctor, the State Geologist, collected for the purpose of the projected Louisville, Cincinnati and Virginia Railway) and other information, and there appears every believe that coal will be found in large quantities throughout the estate, that large quantities of valuable timber exist on it, and that iron is to be found in its vicinity, and possibly within its own borders. The Directors believe that directly one out of the many commenced or projected lines touches the property, which may happen at a very early date, the value of the land must at once be enormously increased. In this cOlJnection they think it well to print with this Prospectus extracts from the Official Report of the State Geologist of Kentucky. The climate is agreeable and salubrious, and the land in the valley portion of the estate is suitable for agri- cultural purposes. The map accomoanying the prospectus, which is com- piled from a map of the Kentucky Geological Survey and a map recently issued by the Norfolk and Western Railway.is intended to show the position of the existing railways and the extension believed to be projected, and when these are completed they would open out this section of the country, placing it in through communi- cation with the great systems of tbe States, aUfI. pro. viding facilities for the transport of the timber and mineral produce of the property. The Clinch Valley Extension of the Norfolk and Western to connect with The Louisville and Nashville at Norton, only about 25 miles south of Pound Gap, The Kentucky Union, built as far as Jackson, in pro. cess of construction over the Blue Grass Country, pre- sumably to Pound Gap. The South Atlantic and Ohio almost completed. The Louisville Southern, stated to be already at Beattyville, projected down either to Pikeville or Pound Gap. The Cbattaroi, completed to Richardson, continua- tion projected near to the Western boundary of the larger block, and The projected Ohio Extension of the Norfolk and Western Railway, from Ironton to Elkhorn, con- tiguous to the eastern boundary of the larger block. TIMBER. The property, consisting of nearly 575 square miles, is reported to be densely timbered with forest trees of the best varieties, and most in commercial request- walnut, poplar, white oak, and hickory, which woods are readily saleable all over the States, in any quantity t hat can be produced. COAL. According to a report obtained by the vendor, the estate is underlaid with a series ot coal seams, the beds varying in thickness from 2j to 8 feet, three cut- tings examined having good floor and roof, the beds on thiq property bille: precisely analagous to those at Princes Fiat (Big Stone Gap), Cumberland Gap, and Big Creek Gap. Coke made from the Elkhorn seams compares most favourably with the best varieties of Pennsylvania. Professor John R. TOWNSHIPS. The settling of the Mining Population attracted by the Coal and Iron industries should lead to the formation of Townships and Towns in this district have rapidly sprung into exist. ence, even before the Timber, Coal, and Iron I businesses have fully come into operation. It is only necessary to mention such recent towns as Roanoke, Pocahontas, Decatur, Florence and Sheffield, Ac., dfcc,, Middlesborough, situated in this section, being the most noteworthy. Professor Procter concludes his Report, written in 1888, upon the part ot Kentucky in which this property is situated, in these words :— With th.s combination of coals, iron ores, and forest products, in a region of abundant and pure water, a genial climate remarkable for healthfr ness, it only awaits railway building to induce a pheuomenal development. Cities and industrial centres will spring into existence the lands, well suited for colonisation will speedily be populated and this region, situated in the very heart of this country, midway between the east and west and north and south, will within a few decades rank among the most populous and prosperous portions of this favoured Republic." Mr Taylor, the vendor, who is also a promoter of the company, has purchased by contract below mtlDtioned the freehold estate, with all the mineral, timber, and other rights attached, and has fixed the price for the resale of the same to the company at which includes his profit, and is to be paid as to £15,000 in cash, and £65.000 in First Mortgage Debentures, in fully-paid Ordinary and Deferred Shares, and the balance in cash or fully-paid Ordinary Shares, at the option of tbe directors no money, however, will be paid over until the property is transferred. The directors have, moreover, stipulated that a rebate of £ 8,000 from the portion of the above purchase-money, payable in cash or Ordinary Shares, be allowed to the company, to enable them to settle amicably with such squatters as may be found located on the property. In addition £ 15,000 of the debentures payable to the vendor will be retained as security to deal with squatters, as provided in the contract below mentioned. 'the vendor pays all preliminary expenses (including brokerage) attending the incorporation of the com- pany and the subsciption ofits capital up to ailotment. Kaberry, of Pontefract, who for twelve years has been the Secretary of the York- shire Glass Bottle Manufacturers' Association, after referring to the improved condition of the trade generally, he says I also think it well to call your attention to the Patent Bottle Making Machines, as, in my opinion, they will form an important element in the future working 0: the Glass Botttle trade. During the present year they have been wonderfully de- veloped, and may now be considered a success.. • • Although present prices are much lower than those which ruled a few years ago, yet, having regard to the improvements which have taken place of late. in the process of manufacture, and to the savings which will be effected in consequence of amalgamating under one management, and especially to the more xten. sive use of machinery, the Company would, in my j I opinion, be able to obtain and maintain an average 3pttMic Otnmpanies, profit of 3s per gross without materially altering the prevailing prices, thus insurin g an ample return for all the Shareholders." 6. The management of the various works will be under one central control, and the powerful position of the Company will enable them, to a considerable extent, to reculate the prices of raw materials, and to draw the requiraments needed for each works from the nearest source of supply, and thereby effect a consider- able saving in carriage and also in cost. A t present, bottles and other glass vessels made in England are sent largely to Scotland, Ireland, and Wales, and vice versa, but the Company wIll be in a position to supply orders from the: works situated nearest the place of demand, and thereby effect large savings in carriage and freights which have hitherto been a serious burden on the industry. 7. Bottle Making by Machinery.—The Company will secure the exclusive use (subject to the reservation referred to in Clause 8) of the Patent Bottle Making Machines, now the property of Mr Din RjlanJs, together with the benefit of all future developments thereof applicable to bottle making. These machine are in regular operation at the Works of Dan Rylands, Limited, and together with the patents themselves, have been specially inspected by the well-known expert, Dr John Hopkinson, F.R.S. In concluding his report, he says The following statement shows the advantages arising from the manufacture of bottles by machinery as compared with their manufacture by hand: By stilled hand I labour. | By machinery Average rate of pro- duction (about) 2 per minute u 4 per minute Average cost of lab- our per gross (about) 3.s. 6d. 9d. Waste glass or moils (about) 20 percent. Nil. At the works of Messrs Dan Rylands, Limitevl, I veritied tbe wages, both by machinery and hnt1 labour, a.nd ascertained that they were correct. The average saving in the cost of labour alone by the use of Rylands' method may be taken at 2s 9d per gross. If Is per gross be allowed for Royalty, this leaves a net average saving of Is 9d per gros, It is true, no doubt, that certain special classes of bottles must f.r the present be mad by hand, but assuming that machinery is empleyed In the manufac- ture ot only half the bottles produced at the Company's work., there will be an aggregate saving of over per annum, in addition to the trade profit de- rived from the sale of bottles. To produce this quan- tity about 7:1 machines will be required, which, it is estimated, can be erected at the various works at a cost of about £10,000. 8. A mutuaily-beneScial working arrangement has been entered into with the important and prosperous firm of Dan Rylands, Limited, with respect to machine-made bottles manufactured under Ryiands' patents. Mr Rylands reserves the right of granting the use of his patents to his own company, but Dan Rylands, Limited, and this company (l'he Glass Bottle Industries, Limited) are the only firms in the United Kingdom who can manufacture bottles by machinery under the said patents. 9. Foreign Competition.—British bottle manufac- turers have hitherto been unable to compete with foreigners in many markets of the world, owing to tne fact that the latter have been able to produce bottles at a cheaper rate, inconsequence of wages on the Con- tment bein lower than in the United Kingdom. With the assistance of machinery it is expected that this Company will be able to supply forein and colonial markets which have hitherto been practically closed to British-made bottles, and at the same time secure the home market from foreign competition. 10. Revenue.—The productive capacity of the works to be acquired as certified by the valuers is equal to 806 working holes. The avenue daily output of one hole is 100 dozens. The number of holes actually worKed durmg toe past year is 630, yielding an output of 15,750,000 dozens per year of 2o0 working days. Taking into account tue savings referred to in clauses 6 and 7, the directors confidently believe that an average net profit of 2s 6d per gross can be obtained arid maintained.
