I rpo THE HOLDERS OF NORTHERN X PACIFIC RAILROAD FIRST MORTGAGE GOLD BONDS. In the plan, dated 16th March, 1896, which has been prepared for the reorganisation of the NORTHERN PACI, IC RAILROAD SYSTEM, Holders of the SIX PER CENT. FIRST MORTGAGE GOLD BONDS are offered the privilege, until further notice, of converting or exchanging their Bonds as follows :— For each old Bond of 91,000 will be given $1,350 FOUR PER CENT. NEW PRIOR LIEN HUNDRED YEAR GOLD BONDS, carrying interest, payable quarterly, from 1st July, le96, and 530 in cash, payable immediately on deposit of the old Bonds, in respect of the coupon due 1st July next on the said old Bonds. The old Northern Pacific First Mortgage Bonds possess mortgage rights over the main line as regards 2,152 miles, and, together with the Pend d'Oreille and Missouri River Divisional Mortgages, which precede them in rank, and the St. Paul and Northern Pacific I Bonds, which are to be included in the New Prior Lien Mortgage, require fur their yearly service a sum of about$4,000,000. The New Prior Lien Bonds, on the other band, when the plan is entirely carried through, will be a first charge on the whole of tho Northen rPacific sys tern amounting to 4,706 miles, and will require for their service a sum _of$4,570,000, being an increase of only $373,000. It is proposed under the plan to pay off in cash at par the aforesaid Pend d'Orielle and Missouri River Divisional Bonds, and to retain in reserve an amount of$8,423,000 Prior Lien Bonds against a like nominal amount of st. Paul and Northern Pacific Bonds now in circulation, and which cannot be repaid before maturity. Under the plan $105,000,000 (including the above of the New Four per Cent. Prior Lien Bonds are to be issued. This amount may be increased by a maximum addition in the course of about 16 years, but any such incre se is only to be authorised for new mileage or for important better- ments of the property coveied by the mortgage. The Prior Lien Bonds will, as regartts both the principal and interest, be payable in gold, and be secured by mortgage not only on the main line, branch lines and terminals, but abo on all rolling -tock and equipment, as well as on the entire land grant, includ- ing that portion of the grant which hitherto has not been covered by the first mortgage. From the :proceedg of land sales an amount not exceeding$500,000 in each year is to be devoted to the redemption by purchase and cancellation of Bonds of the new Company. In the first iu stance purcliasea will be made of Four per Cent. Prior Lien Bonds, so long as said purchases can be effected at not over 110 per cent. When Prior Lien Bonds are not obtainable on these terms, purchases will be made of the security next in rank, viz., 'three per Cent. General Lien Bonds. The new Company waiving the r ght of redeeming Bonds before their maturity, holders of the new Bonds cannot be compelled to surrender their Bonds for sink- ing fund purposes. The existing general First Mortgage Bonds, how. ever, are redeemable at 110 per cent, by compulsory drawings for account of a sinking fund consisting of— (a,) The annual surplus arising, after provision for 6 per cent, interest on the balance of bonds out- standing, from a sum equal to 7 per cent, on the original amount of the mortgage. (b) The excess proceeds of land grant sales. Even if the sale of lauds should continue to proceed as slowly as has hitherto been the case, the funds available would probably be sufficient to entirely redeem all non-registered First Mort- gage Bonds iu about 10 years. It is. however, intended to introduce a different policy regarding the land salos, with the object of attracting settlers to the domain of the Northern Pacific. It may be here- fore anticipated that; the entire compulsory redemp- tion of the old Birst Mortgage Bonds, both non- registered and registered, will be accomplished at no veiy distant date. For these reasons the Committee of First Mortgage Bondholders, as well as the New York firms who originally issued these Bonds, Messrs ,T. P. Morgan and Co., August Belmont and Co., and Winslow, Lanier and Co., as also the Deutsche Bank, recom- mend all holders thereof to avail themselves of the privilege of voluntary conversion as aforesaid.
