The roctor arrived in London tired with bis journey, and sore in spirit. He put up at one of those little hotels which are to be found in such profusion between the Strand and the I Thames Embankment. The first night he slept badly-he had legal proceedings on the brain-and when he woke in the morning he felt like a condemned criminal on the morning of his execution. He called upon Squeers, Son, and Philpot in Lincoln's Inn Fields, and asked to see Mr. Phil- pot. The letters he had received from the firm had always mentioned "our Mr. Philpot" as being the member of the firm in charge of the matter in question. He was ushered into a room on the second floor, where sat, surrounded by papers, a little fat man, with a bald head and high stuck-up collar, some fifty years of age, the very picture of a pros- perous attorney.. "The Rev. Hugh Stepney," called the clerk by way of introduction. "All, Mr. Stepney," said the little man, fold- ing his gold eyeglasses, and coming forward, with a smile. ''It was only day before yester- day-day before yesterday, was it?-yes, day I before yesterday, I was speaking to Podgers I about you. I little thought then-very little I thought-that we should so soon have the pleasure of seeing you." Mr. Philpot could not bring Mr. Stepney to I mind at all; however, he would in a moment no doubt. "The truth of the matter is, Mr. Philpot, I have got into a t-errible mess, and I hardly think I shall get out of it. It seems to me very likely that I am ruined. I thought I had better come up and see you myeelf." Not so bad as that, I hope; really you alarm me, you do, indeed. Ruin is such a very ugly word. I positively detest it." And Mr. Philpot resumed his seat with the air of a man who had suddenly suffered a great reverse. "I thought you knew. You wrote to me that there was no hope for me—none what- ever." And I must candidly say, my dear air-I must candidly say, I am afraid it is but too true. You really are in a devil of a mes&a very devil of a mess. Ah, pardon, I forgot myself; your cloth-" Mr. Philpot would have given. somethi if he could only have remembered which of his clients Mr. Stepney was. He could not recol- lect him at all. He had seen him before, that was true, but it was a long time ago. He knew the name well, he had seen it on the back of papers and on briefs to counsel, but for the life of him he could not remember the case. In a large London solicitor's office so much is left to clerks that it not infrequently hap- pens that business is done, actions are.fought, and costs are paid which the principals never even hear of. But it would never do to let the clients know that. In this particular case Mr. Squeers, junior, had had the conduct of the Ecclesiastical proceedings, whilst r. Philpot had only directed the common law action. "I am afraid I am as you say, in a-well, a great mess. Now, what do you advise me to do?" Ah,, that requires consideration—very gTea/t consideration. I really think it would scarcely be safe to move without taking counsel's opinion," replied Mr. Philpot, diplomatically. Dr. Eccles-you have heard of Dr. Eccles, Mr. Philpot, of course? "I cannot say that I have, and yet some- how the name seems familiar; was not that the name of a person who was charged with a murder somewhere? But there, I scarcely ever read the newspapers." A most base accusation, Mr. Philpot." Ah, well, of course-l did not follow the evidence. There was some flaw in it, I remem- ber. I remember—he had-it was alleged— always say it was alleged—it is so much safer —I always do-murdered a. London broker on a, Welsh mountain somewhere. Yes, yes, of course—I recollect-a. most sensational story. The broker was after the parson's daughter, and this Eccles was after her, too- and so the broker died—that's all we know about it-so we say the broker died-we don't say he was murdered, because we can't prove it-the broker died. Ah, ah, ah! dear, dear! What a lot women have to answer for." The rector could not see that there was anything to laugh at. However, he could acquiesce in that last remark. Indeed they have, Mr. Philpot; but in this particular case Mr. Winstaple himself was the cause. Yes, yes—how foolish of me! I had for- gotten. Winstaple-that was the name of the man. It all comes back to me as you men- tion it. He got a poor, silly clergyman—I beg your pardon-no offence I hope—you know there are silly clergymen in the world-lots of them-just as there are silly lawyers and silly people of all sorts—and he got him to sign for a whole lot of shares in that swind- ling' affair, the Silver Streak Gold Mine. You've heard of the thing- "Yes, I've heard of it, Mr. Philpot; but I did not come here to be laughed at." The rector was furious. "Heaven forbid, my dear air-Heaven forbid! I was only telling you how the thing struck me; but to return-what can I do for you? Really, Mr. Philpot; am I awake or am I asleep? or are you in your right senses? I sincerely hope so, my dear sip. I have no reason to believe otherwise—no evidence to the contrary—none whatever." All at once the truth dawned upon the (lawyer. This was the Rev. Hugh Stepney, of Pen—something or other, in Wales. Really, I how very stupid he had been! Mr Stepney," said Mr. Philpot very slowly, and adjusting his glasses, you now see what people will say of you. I make it a rule to be frank with my clients. In this room, with four brick walls to surround us, no one can hear, and no bones are broken; outside it may be otherwise. There is no chance for you-none whatever—unless you can see your- self as others see you; and that is why, at the risk of giving you offence, even at the risk of losing one of our very best clients, I felt it incumbent upon me to point out to you what the world will say of you. The world will say that you have been foolish and that you have been swindled." The rector could, not recover his composure in a. moment; he had seen many lawyers in his time, but he had never been treated in this way ibofore. Mr. Philpot's manner was eooentric, to say the least of it. "Now," continued the lawyer, "I will send for your papers, and we will go through them patdemtly and quietly, and see what can be done. You won't mind my managing clerk being present? He haa the ma-tter in hand." The rector bowed assent, so Mr. Podgers was sent for, and the papers of the rector, "PodgarB." said Mr. Philpot. "thiw is the Rev. Hugh. Stepney, of Pen—'what-do-you-call- it?" Penrcwm-garw," put in the rector. ".Ah, yes, of course; thank yon. One of our most important clients remember." A little flattery was needed to re-establish the balance. "I want you just to tell us how the matter stands." Yes, sir." Then Mr Podgers explained the proceedings which had been taken under Order 14, and, how that, owing to the bril- liant affidavit which he had drawn, Messrs. Israel Davis and Co. had been defeated all along the line right up to the Court of Appeal, and that the liquidator had been ordered to pay the costs. There is one I thing we have not got. Mr Stepney has never sent us the letter of allotment with regard to those shares; we should have that, as there might be a defect in it, and as I am preparing instructions to counsel to settle the defence, it would be as well." "Letter of allotment! What is that?'* asked the rector. I thought they hadn't got the application for the shares," cried Mr. Podgers Why, Podgers, no application, and no letter of allotment? What more do you want? What more can you want?" "Well, sir, I can't say for certain they have not got it; but Mr. Brown, that is, the clerk of Israel's, let out something one day; he said we hadn't got the right defence, and it did strike me at the time there was something wrong" "Are you sure, Mr. Stepney, that you did sign the paper?" asked the lawyer. "Quite," replied the rector innocently. "But it is just possible you may be mis- taken." "No. I can remember it quite plainly. Mr. Winstaple filled it up and handed it to me to sign, and I did so." "You signed it without looking at it, of course?" "Naturally I did not read it, but I knew what it was." "Now that only shows—that only tiows the truth of what I said just now. How did you know what it was?" "Mr. Winstaple said 'this is an application form,' and, besides, I remember that we had a. few words about the number of shares I should apply for." "That proves nothing. You have only Win- staple's word for it; you signed something which he called -an application. Now, I'll put it to you; are you prepared to swear—to swear on your solemn oath that you ever signed an application at mai? The rector considered for a minute. "Well. no; of course I could not wear to it." "You should always be very particular what you swear to," said Mr. Philpot in his most solemn tones. "We in this office are always very particular—very particular indeed. Now, Mr. Stepney. I must really ask you to be exact-very exact about the truth." The rector fired up in a. moment. "I hope, sir, I am always very exact about, the truth." Pardon me—pardon me, you. just now declared you had signed an application form. And now see what it comes to, you signed a piece of paper which might have been a leaM or a will for all you know." "But Mr. Winstaple said-" Never mind that; what Mr. Winstaple said is not evidenoe-not evidence at all, and besides, he is dead, and if he were alive no one would believe him on his oath, would they, Podgers?" The clerk shook his head gravely. "Certainly not, sir; not on his oath." "I had no idea. he was eo bad as that," said the rector. Now, Mr. Stepney, confess, sir, you do not recollect ever signing an application form at all, do yon?" "Of course, if yon put it that way, I do not." "It is a thousand pities you did not tell us that before-a. thousand pitiee--still, it is not too late; it amounts to an absolute defence to the action." "Do I understand rightly that you think now that I might get free from this large demand?" asked the rector, scarcely daring to hope. "You might—yes, you might; we cannot go further than that, can we, Podgers, because we at present do not know the result, and I am very careful not to raise false hopes; still, you might hope—yon might hope." "I had better tell Israel's clerk. sir, that we deny the application; he might say some- thing which would give one an idea." "A very neat suggestion, Podgers." Then, turning to the rector, "You have no concep- tion, Mr. Stepney, what a diplomatist Pod- gers is.
