MANAGING DIRECTOR, ENGINEER, A SEC- RETARY, and REGISTERED OFFICES: S. J. ACLAND, M.I.G.E., King's-chambea-s, Newport, Mon. ABRIDGED PROSPECTUS. This Company is formed for 'the general purposes stated in the Memorandum of Asso- ciation, and more particularly to acquire by puircihose, oarry on, and extend the Gas Workownd business carried on dn connection therewith at Beaufort, in the county of Brecon. The town of Beaufort, with its growing population, which now exceeds 5,000, is within t,he anea of the Ebbw Vale Urban District Council and on the bordexs of the Welsh coalfield. There are three stations on the London and North Western Railway system in the district, and the Company axe cus- tomers of the Vendors. The rapidity with which the demands of Consumers have increased inay be gathered from the fact that the revenne from the sale of gas has increased during the past nine years by nearly One Hundred per Cent. The Company's Engineer advises the Direc- tors that the additional oa,pita.1 to be pro- vided by this issue of Shares will ena,ble the output of gas to be increased from 5,000,000 to 15,000,000 cubic feet per annum. The current price for Gas at Beaufort is 5s. per 1,000 cubic feet, and the Directors are advised by their Engineer that on the basis of a sale of 15.000,WO cubic feet per annum this should provide all ad-mrnistratiom. charges and yield a net profit available for dividend of £ 1,600 per annum. The amount required to pay the annual dividends on the whole of the Preference and Ordinary Share Capital is £ 1,140. The Managing Director, Mr. Acland. M.I.G.E., has made a Report, and in such Report the following particulars are given:- That in 1901, as shown by the books of the Beawfort Gas Light Company (Limited), a dividend of 12 per cent, was earned, in 1902 to 1905 10 per cent, profits were earned, and althoug-h in 1907 a dividend of only 4 per cent, was paid it must be understood that the Directors, instead of raising fresh capital, have applied profits to caipital expenditure, otherwise the Company would have no doubt maintained a 10 per cent. dividend regularly. The new Company, who are taking overl the works, will have an increased capital, so in due course, by judicious expenditure and efficient management, you ought to be a,ble to maintain your dividend of 7 per cent. on the Preference and 10 per 'cent. on the Ordinary Shares of the increased capital. Allotment will be made in order of date of receipt of application at the Company's Bankers. The usual Stockbrokers' CoTmnission will be paid on ajpplication for Shares beairimg their stalllilp. stamp.li_?hLlity of every shareholder is limited to the nominal amount of his or her Shares. Applications for Shares can be made on the form berorw or that aooollilptanying the full Prospectus (upon the terms of wfhich applications for Shares will alone be enter- tained) and forwarded to the Company's Bankers, the London and Provincial Bank (Limited), Head Office, 3, Bank-buildings, Lothbury, London, E.G., or Newport, Mon., or other Branches, with the amount of the deposit stated above. By order of the Board of Directors, CHARLES BUCKWORTH-HERNE SOAME, Bart., Chairman. This Form may be cut out, filled rap, and sent ENTIRE with the deposit of J51 per Share, to the LONDON AND PROVINCIAL BANK (Limited). Head Offic.3, Bank-buildings Lothbury, London, E.C., or Newport, MoOn., or other Branches. FORM OF APPLICATION. To be used for Preference and Ordinary Shares. Ordinary Shares of X10 each, in yooir Company, and I agree to accept the same, or a;ny less amount that may be allotted to me, in a-ooordance with the Full Prospectus. I enclose £ .g d. being a deposit of Ll per Share on the number applied for, and I undertake to pay the balance due on the Shares applied for, or on so many thereof as may be allotted to me, in accordance with the terms of the Full Prospectus, and subject to the provisions of the Memorandum and Articles of Association of this Company.
